These Terms and Conditions (“Terms”) govern your use of the Optiq SEO WordPress plugin (“Plugin”) and any related services provided by RSC Media Ltd, a company registered in Scotland with its principal place of business in Inverurie, Aberdeenshire, Scotland (“we”, “us”, “our”).

By downloading, installing, or using the Plugin, you agree to be bound by these Terms. If you do not agree, do not use the Plugin.

1. Definitions

“Plugin” means the Optiq SEO WordPress plugin, including Lite, Pro, and Enterprise editions.

“Licence Key” means the unique key issued to you upon purchase that activates paid features of the Plugin.

“Subscription” means a recurring annual licence to use the Plugin’s paid features.

“Site” means a single WordPress installation identified by its domain or URL.

“You” means the individual or entity that has agreed to these Terms.

2. Licence Tiers

We offer the following licence tiers:

• Lite: Free to use on one (1) Site per email address. No payment required.
• Pro: Paid annual Subscription. Licensed for use on one (1) Site.
• Enterprise: Paid annual Subscription. Licensed for use on up to five (5) Sites.

Each Site must be individually activated using your Licence Key. Activations are counted automatically by our licence validation system. You may not exceed the number of Sites permitted by your licence tier.

3. Licence Grant

Subject to these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Plugin on the number of Sites permitted by your chosen tier.

You may not:

• Sublicense, sell, resell, transfer, or assign the Plugin or Licence Key to any third party.
• Modify, adapt, translate, reverse engineer, decompile, or disassemble the Plugin.
• Use the Plugin in any way that violates applicable law or these Terms.
• Share your Licence Key publicly or distribute it to persons outside your organisation.

4. Subscriptions and Payment

Paid licences are billed annually in advance. All prices are in US Dollars (USD) and exclusive of any applicable taxes.

Payments are processed securely by Stripe. We do not store your card details. By providing payment information you agree to Stripe’s terms of service.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You will receive advance notice of upcoming renewals by email.

We reserve the right to change our pricing. Any price changes will be communicated to you by email at least 30 days before they take effect and will apply from your next renewal date.

5. Refund Policy

We offer a 14-day money-back guarantee on all paid licences. If you are not satisfied with the Plugin for any reason, contact us within 14 days of your initial purchase and we will issue a full refund.

Refunds are not available after 14 days from the date of purchase, or on renewal payments. To request a refund, contact us at the email address listed at the end of these Terms.

6. Cancellation

You may cancel your Subscription at any time through the customer portal or by contacting us. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date.

Upon cancellation or expiry of your Subscription, your Licence Key will be deactivated and access to paid features will cease. Your data is not deleted and the Lite version of the Plugin will continue to function.

7. Updates and Support

Active Subscribers receive access to Plugin updates and email support for the duration of their Subscription. We will make reasonable efforts to provide timely support but do not guarantee response times.

We may release updates that change, add, or remove features. We will not intentionally remove core functionality without reasonable notice.

Lite users receive the Plugin as-is with no support obligation, though we will endeavour to maintain a working free tier.

8. Intellectual Property

The Plugin, including all code, design, and documentation, is the intellectual property of RSC Media Ltd. All rights not expressly granted in these Terms are reserved.

The “Optiq SEO” name and any associated branding are proprietary to RSC Media Ltd. You may not use our name or branding in any way that implies endorsement or affiliation without our prior written consent.

9. Disclaimer of Warranties

THE PLUGIN IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Plugin will be error-free, uninterrupted, or free of security vulnerabilities. You use the Plugin at your own risk.

10. Limitation of Liability

To the fullest extent permitted by applicable law, RSC Media Ltd’s total liability to you for any claims arising from these Terms or your use of the Plugin shall not exceed the amount you paid us in the 12 months preceding the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if advised of the possibility of such damages.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Scotland and the United Kingdom. Any disputes shall be subject to the exclusive jurisdiction of the Scottish courts.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email. Your continued use of the Plugin after changes take effect constitutes acceptance of the updated Terms.
